1. Who we are
Vixdeo is a service of Synaxis Systems LLC (https://synaxis.systems/), hereinafter "Synaxis," "we," "us," or "the Company." Vixdeo (https://vixdeo.com/, hereinafter "Vixdeo," "the Service," or "the Platform") is an AI-assisted video production platform operated by Synaxis Systems LLC.
Synaxis Systems LLC is a Florida (USA) limited liability company, Document No. L26000359051, filed on July 7, 2026. Registered address and mailing address for notices: 135 18th Ave, Naples, FL 34120, USA.
These Terms of Service (the "Terms") are a binding agreement between you and Synaxis Systems LLC and govern your access to and use of the Service. By creating an account, checking the acceptance box at signup, or using the Platform, you agree to these Terms. If you do not agree, do not use Vixdeo.
2. Eligibility and accounts
2.1. Minimum age. You must be at least 16 years old to use the Service. If the law of your jurisdiction requires a higher age to consent without parental authorization, that age applies.
2.2. Invitation-based access. During the beta or gradual-opening period, access may be limited by quota or invitation list. We may expand, restrict, or condition access at our discretion during that period.
2.3. Account. Registration is performed through your Google account (Google Sign-In). You are responsible for the security of your Google account, the confidentiality of your credentials, and all activity under your account, including activity performed by AI agents with the API keys or authorizations you have issued (§9 bis). You must provide accurate information. Notify us promptly of any unauthorized use of your account.
2.4. Business use. If you use the Service on behalf of an organization, you represent that you have authority to bind it to these Terms, and "you" includes that organization. If you process third parties' personal data through the Platform as a data controller, our Data Processing Agreement (DPA) also applies.
3. Description of the Service
Vixdeo is a SaaS platform for directing, generating, and producing multi-scene video pieces from a conversation or instructions. The Platform orchestrates a creative pipeline — script, direction, voice and avatar casting, music and sound design, proprietary engines for infographics, maps, subtitles, transitions, and rendering — to deliver a downloadable final video, optionally publishing it to external destinations (e.g., YouTube) or exhibiting it in Vixdeo's public gallery.
The Service is provided "as is" and evolves continuously. We may modify, add, or retire features, engines, or underlying providers without prior notice, provided we do not substantially degrade service already purchased and consumed.
4. AI-generated content
4.1. Nature of the content. Content you produce with Vixdeo is generated by artificial-intelligence models, both proprietary and from third-party providers, including among others: language models for scripting and direction, image and video generators, voice synthesis and cloning, digital avatars, stock and archival video/image libraries, and music. AI-generated content may contain inaccuracies, factual errors, or unexpected results. You are responsible for reviewing every piece before publishing or distributing it. Vixdeo does not warrant the accuracy, originality, or fitness of generated content for any particular purpose.
4.2. Third-party asset licenses. Assets incorporated into your piece (music, avatars, stock, archival material, generator outputs) are subject to the licenses of their respective providers. Some licenses may restrict specific uses (e.g., resale of the standalone asset, use in defamatory contexts, or attribution requirements). Use of the final piece must comply with those underlying licenses.
4.3. Synthetic-content transparency. Content produced with Vixdeo is, in whole or in part, artificially generated or manipulated. When the Platform publishes on your behalf to third-party platforms, it declares that condition where the destination platform provides for it (for example, YouTube uploads are flagged as synthetic or altered content by default). You agree not to remove, conceal, or falsify applicable transparency declarations, and to comply with synthetic-content disclosure obligations imposed on you by applicable law — including, where applicable, Article 50 of the EU Artificial Intelligence Act.
5. Content ownership and licenses
5.1. Your input content. You retain all rights to material you upload or enter into the Platform (text, instructions, images, audio, video, trademarks). You represent and warrant that you hold the necessary rights and authorizations to that material.
5.2. Your ownership of the output. Except for incorporated third-party assets (§4.2), and to the extent the law recognizes rights in AI-generated content, you own the final video you produce with Vixdeo, including its commercial use (publication, advertising, monetization). To the extent Synaxis holds any rights in the output, it assigns or licenses them to you to the maximum extent necessary for that use.
5.3. License to Synaxis to operate. You grant Synaxis a worldwide, non-exclusive, royalty-free, revocable license to host, reproduce, process, technically adapt, and transmit your content (input and output) for the sole purpose of providing, maintaining, protecting, and improving the Service. We do not use your content to train our own AI models, nor for advertising purposes, without your express consent. To produce your piece we send the necessary parts of your content to the third-party AI providers listed at vixdeo.com/legal/subprocessors, for the sole purpose of having them generate what the piece needs. Under their terms, most of those providers do not use that data to train their models, or use it only once anonymized or aggregated. The exceptions, for as long as they last and under each provider's standard terms as reviewed on September 27, 2026, are ElevenLabs and HeyGen, which may use that data to improve their models except on their enterprise plans or if that option is turned off, and Stability AI, which may also do so unless it is turned off.
5.4. Public gallery. If you choose to publish a work to Vixdeo's public gallery, you grant Synaxis a worldwide, non-exclusive, royalty-free license to host, reproduce, publicly communicate, and display that work in the gallery and in the Service's discovery surfaces (including thumbnails and metadata) for as long as the work remains published. This license ends when you unpublish the work or delete your account, subject to cached copies or technical backups for a reasonable period. Synaxis may remove any work from the gallery (takedown) for breach of these Terms or upon legal demand, recording the reason.
6. Synthetic content, avatars, and likeness consent
6.1. Your image and voice. When creating an avatar or a voice from a real person's image, video, or voice, you represent and warrant that you are that person or that you hold their explicit, informed, and verifiable consent to create and use their digital replica within the Service.
6.2. Digital twins. For high-fidelity avatars created from footage of a person ("digital twin"), the creation flow may additionally require verified consent from the subject through the applicable provider (for example, visiting a consent URL). Completing that flow does not release you from the warranty in §6.1.
6.3. Photo-based avatars. When you supply a photograph to create an avatar, you represent that you hold the rights to that image and the explicit consent of the person depicted. Avatars representing real people are private to your account or organization and do not enter public catalogs.
6.4. Revocation and third-party complaints. If a person whose image or voice was replicated withdraws their consent, you must cease use and delete the affected avatars and voices. The affected person may complain by writing to legal@vixdeo.com or, if the replica appears in a work in the public gallery, through that work's report form (reason "Uses my image or voice"). We acknowledge the complaint within 72 hours and resolve it within 10 business days. We may ask them to verify their identity, and we may deactivate replicas upon a substantiated complaint.
7. Prohibited uses
You agree NOT to use Vixdeo to create, generate, publish, or distribute content that:
- Is illegal, promotes illegal activity, or facilitates harm to others.
- Creates deepfakes or non-consensual replicas of real people (image or voice), or any impersonation intended to deceive, defraud, harass, or damage reputation — including political or electoral disinformation presented as real.
- Infringes copyright, trademarks, trade secrets, publicity/image rights, or any third-party right.
- Is defamatory, harassing, or incites hatred or violence.
- Constitutes non-consensual sexually explicit material, and in particular any sexual content involving minors, real or synthetic, whose detection will be reported to the competent authorities.
- Is deceptive or fraudulent, including deliberate disinformation presented as fact, or circumvents synthetic-content transparency declarations (§4.3).
You also may not: resell the Service without a written agreement; probe, circumvent, or overload its security mechanisms and usage limits (including per-IP and per-account limits); scrape the Platform or its gallery; use the Service to build competing products through systematic access; or create multiple accounts to circumvent quotas, limits, or promotional credits.
We may suspend or terminate accounts that violate this section, remove content, preserve relevant evidence, and cooperate with authorities where the law requires. You are solely responsible for the content you generate and for holding the necessary rights and consents.
8. Third-party intellectual property — notice and takedown (DMCA)
8.1. Policy. We respect intellectual-property rights and expect our users to do the same. We remove or disable access to allegedly infringing content in accordance with the Digital Millennium Copyright Act ("DMCA") and equivalent rules, and we terminate the accounts of repeat infringers.
8.2. Notices. If you believe content available through the Service (for example, in the public gallery) infringes your copyright, send a notice containing the elements of 17 U.S.C. § 512(c)(3) to our designated agent:
- Designated agent: Legal Department, Synaxis Systems LLC
- Address: 135 18th Ave, Naples, FL 34120, USA
- Email: legal@vixdeo.com
- Registration in the U.S. Copyright Office's directory of designated agents: DMCA-1081253
The agent's full details, how to prepare a notice and the counter-notice are at vixdeo.com/legal/dmca. The agent's email is also our point of contact for notices of illegal content under Regulation (EU) 2022/2065 (Digital Services Act). You may also flag content from within the Platform using the built-in reporting mechanism.
8.3. Counter-notice. A user affected by a removal may submit a counter-notice containing the elements of 17 U.S.C. § 512(g). We will restore content where the law so provides.
9. Publishing to third-party platforms (YouTube and other destinations)
If you connect your YouTube account or another publishing destination, you authorize Vixdeo to publish content on your behalf and to read your channel's data and metrics to analyze its performance, through an OAuth authorization that you may revoke at any time (from the Platform or from your Google account's security settings). Vixdeo uses the YouTube API Services: by using the YouTube integration you agree to be bound by the YouTube Terms of Service, and what Google does with your data is governed by the Google Privacy Policy. You are responsible for complying with the destination platform's policies, including its synthetic-content disclosure rules (§4.3). Synaxis is not liable for decisions of the destination platform (blocks, demonetization, removals).
9 bis. Access through AI agents
9 bis.1. What it allows. You may operate Vixdeo from third-party artificial intelligence agents through the MCP server, the OAuth authorization, the API keys and the REST API described in the Privacy Policy (§4 bis). These Terms apply in full to that use.
9 bis.2. The agent acts on your behalf. Every operation an agent performs with a credential you created or authorized is deemed performed by you and is attributed to you: the content the agent sends, the pieces it produces, the material it uploads and the credit it consumes. You are responsible for the instructions your agent issues and for their compliance with these Terms, in particular §§5, 6 and 7.
9 bis.3. Credentials. API keys and OAuth authorizations are personal. You must keep them confidential, not share them with third parties and revoke them in Settings → Agent access if you suspect they have been compromised. No tool of the MCP server will ask you for passwords, keys or secrets of other services. We may suspend or revoke a credential upon suspicion of compromise, abuse or breach of these Terms, notifying you where reasonable.
9 bis.4. Wallet spending. With the "Operate" permission, your agent can run operations that consume credit from your wallet, at the same rates and under the same limits and rules as in the application (§10). In particular:
- Your agent can request a free estimate before spending. The estimate is a range, not a firm quote: actual consumption is charged.
- Formats marked as premium require an explicit spending confirmation in the request.
- When a project is created, by default the production line continues on its own to the final video. Some stages —in particular writing the script— run and are charged before the line checks whether the balance covers the following ones; if it does not, the line stops and what was already consumed is charged.
- Cancelling stops the line but does not reverse what was already consumed; a stage in progress may finish.
- Daily usage limits apply, shared between the application and agents.
Credit consumed by operations run with a valid credential is not refundable because they were initiated by an agent, nor because of interpretation or execution errors of the agent or the host (§10.3). If you tell us in time that a credential was leaked or that someone used it without your authorization, we will review the affected charges case by case; there is no automatic refund.
9 bis.5. Publishing. Publishing a piece to a channel is your decision, and today no agent can publish: the MCP server's tools do not publish, and automatic publishing through the REST API requires the "Publish" permission, which Vixdeo does not enable yet, neither through OAuth authorization nor through an API key (the REST API rejects the request and states the reason).
Vixdeo may enable publishing from agents as a feature of its own, with a "Publish" permission separate from "Operate". That permission is off by default: an agent will only be able to publish on your behalf if you expressly grant it when authorizing it or creating the key, and you can withdraw it at any time in Settings → Agent access. Every publication an agent makes with that permission is deemed instructed by you and is governed by §9, including the destination platform's rules and the synthetic-content disclosure (§4.3).
9 bis.6. Third-party hosts. You choose and contract the host, and it is governed by its own terms. Synaxis does not control the host and is not responsible for its availability, the outputs of its models, how it interprets your requests, what it decides to run with your credential, or how it processes your data.
9 bis.7. Signed links and material. The links to the final video we give your agent are signed links: anyone who has the link can watch the video while the link is valid (7 days), without signing in, and your host may keep it in the conversation history. Share it with care. You represent that you hold the necessary rights and authorizations over the material your agent uploads (§5.1); if it contains personal data of third parties, the DPA also applies.
9 bis.8. Limits and changes. We may apply usage limits to this channel, and modify, add or withdraw tools or parameters under §3. Using the channel to circumvent limits, quotas or promotional credits is prohibited (§7).
9 bis.9. Age. Access from agents does not allow creating accounts: it requires a Vixdeo account, subject to the minimum age in §2.1.
10. Pricing, prepaid wallet, and payments
10.1. Model. Vixdeo operates on a prepaid, pay-per-use wallet: you top up a balance and each production operation consumes credit at the then-current rate. Prices and estimated consumption are shown before billable operations run. This includes operations that an AI agent performs with your credential (§9 bis.4).
10.2. Top-ups and payments. Payments are processed by an external payment provider; we do not store full card numbers. Topped-up balance may include bonuses per the top-up tier in effect at the time of purchase.
10.3. Right of withdrawal, immediate performance and refunds. If you are a consumer in the European Union, the law gives you 14 days to withdraw from a distance purchase. When you top up your balance you expressly request that the service begin immediately —the balance is available for use at once— and you acknowledge that you lose your right of withdrawal once the service has been fully performed, that is, once you have used up the balance; that statement is recorded with the checkbox shown at payment and confirmed to you by email. If you withdraw within those 14 days, by writing to legal@vixdeo.com, we refund the paid balance you have not used. Credit consumed in executed operations is non-refundable, as it reflects real compute and provider costs already incurred. If you close your account, or if we terminate it for breach, we refund the balance you paid for and did not use, as described in §11. Outside those cases, unused balance is non-refundable except where applicable law provides otherwise, in which case the legal minimum applies.
10.4. Promotional credits. Courtesy or promotional credits (including the initial welcome credit and top-up bonuses) have no monetary value, are not redeemable for cash, are non-transferable, may be subject to expiration, and may be modified or canceled. Creating multiple accounts to obtain repeated promotional credits is prohibited and may result in termination of the accounts involved.
10.5. Price changes. We may change rates and tiers with forward effect. Credit already purchased retains its nominal value in the wallet.
10.6. Taxes. The amount of each top-up shown before payment is the total charged.
11. Suspension and termination
You may close your account at any time from Settings. Access ends immediately and your content is deleted when a 14-day grace period ends, as described in the Privacy Policy (§7). When you close your account we refund, to the same payment method you topped up with, the balance you paid for and did not use, once that period has ended; to calculate it, consumption is applied first to gift or courtesy credit, which is not refunded (§10.4). We may suspend or terminate your access, effective immediately, upon material breach of these Terms, legal demand, risk to the security of the Service or third parties, or non-payment. Where reasonable, we will state the reason. If we terminate your account for breach, we also refund the balance you paid for and did not use. Sections that by their nature should survive (ownership, licenses granted while in effect, limitation of liability, governing law) survive termination.
12. Disclaimer of warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYNAXIS DISCLAIMS ALL EXPRESS OR IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF GENERATED CONTENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, NOR THAT AI-GENERATED CONTENT WILL BE CORRECT, ORIGINAL, OR FIT FOR YOUR PURPOSE.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYNAXIS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, NOR FOR LOSS OF PROFITS, DATA, OR REPUTATION, ARISING FROM THE USE OR INABILITY TO USE THE SERVICE OR THE GENERATED CONTENT. SYNAXIS'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO SYNAXIS IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS (USD 100). NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED BY LAW (INCLUDING WILLFUL MISCONDUCT, GROSS NEGLIGENCE, AND MANDATORY CONSUMER RIGHTS).
14. Indemnification
If you use the Service as a business or professional, you will indemnify and hold harmless Synaxis, its officers, employees, and agents from third-party claims arising out of: (a) your content (input or output) and its use or publication; (b) your breach of these Terms, in particular §§6 and 7 (likeness/voice consent and prohibited uses); or (c) your infringement of third-party rights. If you are a consumer, this obligation is limited to third-party claims caused by your willful misconduct or gross negligence.
15. Changes to the Terms
We may update these Terms. Material changes will be notified to you by email at least 30 days before their effective date. Continued use after that date constitutes acceptance; when a new version must be expressly accepted, we will ask you to accept it the next time you sign in to the web application, and in the meantime your AI agents' credentials keep working (§9 bis). If you do not agree, you must stop using the Service and may close your account. Each version of these Terms is identified by its version date.
16. Governing law and jurisdiction
These Terms are governed by the laws of the State of Florida (USA), without regard to conflict-of-laws rules. Any dispute will be submitted to the state courts of Collier County, Florida (USA), or, where applicable, to the federal courts of the Middle District of Florida, without prejudice to the rights of consumers in the European Union and to mandatory consumer-protection rules granting consumers the forum of their domicile.
17. General provisions
These Terms, together with the Privacy Policy and, where applicable, the DPA, constitute the entire agreement between the parties regarding the Service. If any provision is held invalid, the remainder stays in force. Failure to exercise a right is not a waiver. You may not assign these Terms without our consent; we may assign them in the context of a corporate reorganization, merger, or asset sale, with notice to you.
